Boost – Terms of Service

These Terms of Service (“Terms”) govern your use of Boost’s services. By accessing or using any of Boost’s services, you agree to be bound by these Terms.

1. Acceptance of Terms

Boost, operated by Kalnas Group Ltd, provides its services subject to the following Terms of Service (“Terms”), which may be updated periodically. By registering for and/or using Boost’s services, you agree to comply with these Terms and our Privacy Policy, Cookie Policy, and any applicable service-specific guidelines or agreements. Continued use after changes constitutes your acceptance.


2. Services and Billing

2.1 Scope of Service

Boost offers SMS marketing and related communication services. We are not the originators of messages; we provide a platform for their delivery. The service is offered “AS IS” and “AS AVAILABLE.”

2.2 SMS Pricing

SMS is charged per message. One SMS equals up to 160 characters using the GSM alphabet. Special characters or longer texts may be counted as multiple SMS.

2.3 Credit Top-Up & Payment

  • SMS credits are available immediately after card payment confirmation.

  • BACS transfers are credited once verified.

  • All submitted SMS messages are billable, regardless of delivery status.

2.4 Account Responsibility

You are responsible for all account activity, including unauthorized access unless proven to be due to our fault.

2.5 Payment Terms

Invoices are due within 30 days of issue. Late payments accrue 3% annual interest above the Bank of England base rate from the due date until paid.

2.6 VAT

All charges are exclusive of VAT, which will be added as required by law.

2.7 Pricing Changes

We may adjust pricing due to market conditions or supplier changes. Post-pay clients will be given 30 days’ notice of increases.

2.8 Refunds and Expiry

  • Purchased credits are non-refundable.

  • Promotional credits expire 30 days after issuance.


3. Client Obligations

3.1 Registration Accuracy

You must provide and maintain accurate and current account information.

3.2 Confidentiality & NDA

You must not disclose any confidential information obtained through your relationship with Boost. Confidentiality obligations survive account termination.

3.3 Non-Solicitation

You agree not to solicit or employ Boost or Kalnas Group employees or contractors for 12 months post-engagement without prior written consent.


4. Acceptable Use Policy

You may not use Boost’s service to:

  • Violate any law, regulation, or code of conduct;

  • Harass, abuse, defame, threaten, or stalk;

  • Send unsolicited communications without opt-in;

  • Upload viruses, malware, or engage in hacking;

  • Impersonate individuals or falsify sender information;

  • Send discriminatory, obscene, or illegal content;

  • Violate intellectual property rights.

Boost reserves the right to monitor and remove non-compliant content and suspend offending accounts.


5. Promotions and Multiple Accounts

  • Only one promotional offer per customer is allowed.

  • Creating multiple accounts to access additional promotions is prohibited.

  • We may suspend or merge duplicate accounts and revoke associated benefits.


6. Data Security and GDPR

  • Boost acts as a data processor and adheres to UK GDPR and the Data Protection Act 2018.

  • Your data is stored securely in ISO 27001, PCI DSS, and SAS 70 accredited data centres.

  • We never resell, misuse, or process your data beyond its intended purpose.

  • Refer to our Privacy Policy for your rights and our obligations.


7. Indemnity

You agree to indemnify Kalnas Group Ltd, Boost, and its affiliates from claims, damages, and legal costs arising from:

  • Your content;

  • Breaches of these Terms;

  • Third-party rights violations.


8. Intellectual Property

All Boost content, software, and branding remain the property of Kalnas Group Ltd. You may not replicate, resell, or redistribute our services without written consent.


9. Service Limits

We may enforce technical or operational limits on service usage. We are not liable for lost, undelivered, or deleted data.


10. Service Modifications

Boost may modify, suspend, or discontinue any service at any time without liability. You accept that service availability is not guaranteed.


11. Managed Plans

For clients on Managed Plans:

  • You authorize Boost to manage campaigns and lists on your behalf.

  • Services are prepaid. No credits are allocated until payment is confirmed.

  • Managed plans run for fixed periods (not based on credit volume).

  • You will receive Slack access via our Mamba Marketing team and a Client Success Manager.


12. Content Monitoring and Disclosure

Boost may monitor or remove content that:

  • Violates these Terms or the law;

  • Is offensive, harmful, or infringing;

  • Could cause liability to Boost.

We may disclose content to legal authorities if required.


13. Warranty Disclaimer

We provide services “AS IS.” We make no warranties about:

  • Service performance or uptime;

  • Results from service use;

  • Correctness of third-party data.

Use is at your own risk.


14. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect or consequential damages (loss of profits, data, goodwill).

  • Total liability is limited to fees paid by you in the prior 12 months.

  • Nothing excludes liability for death or personal injury from our negligence or fraud.


15. Termination

We may suspend or terminate your account for:

  • Breach of Terms;

  • Multiple account abuse;

  • Security concerns;

  • Payment failure.

Termination is at our discretion and may occur without notice.


16. Force Majeure

We are not liable for delays or failure caused by events outside our control, including natural disasters, terrorism, or supplier failures.


17. External Links and Third Parties

Links to external sites or third-party services are provided “as-is.” We are not responsible for their content or your dealings with them.


18. Governing Law

These Terms are governed by the laws of England and Wales. You agree to the exclusive jurisdiction of English courts for disputes.


19. General Terms

  • These Terms are the entire agreement between you and Boost.

  • If any term is found invalid, the rest remain enforceable.

  • Claims must be brought within 12 months.

  • You may not assign rights without our written consent.

  • Section headings are for convenience only.
